OVERVIEW

Welcome to the Topargee UK online store. Trayne Holdings Pty Ltd trading as Topargee ("Topargee", "we", "us" or "our") operates this store and website including all related information, content, features, tools, products and services (the "Services"). The Services are powered by Shopify which enables us to provide the online store.

These Terms of Service together with the policies referenced in them ("Terms") describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They contain important information about your legal rights. Nothing in these Terms is intended to exclude or restrict any rights or remedies that cannot lawfully be excluded or restricted including your statutory rights as a consumer.

These Terms are intended to operate consistently with applicable UK consumer protection law including the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Digital Markets, Competition and Consumers Act 2024 where applicable.

By visiting, interacting with or using the Services you agree to these Terms and our Privacy Policy. If you do not agree you should not use the Services.

SECTION 1 - ACCESS AND ACCOUNT

You must have legal capacity to enter into a contract to make a purchase through the Services. If you permit another person to use an account or device under your control you remain responsible for ensuring that use complies with these Terms.

To use the Services you may be asked to provide information such as your email address, billing information and shipping information. You agree that information you provide is correct, current and complete and that you have the right to provide it.

You are responsible for maintaining the security of your account credentials and for activity carried out through your account. You must not transfer, sell, assign or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to ensure that product descriptions, specifications, images and other information on our online store are accurate. Colours or appearance may vary depending on your device, screen settings and other factors.

Product descriptions may be updated from time to time and we may discontinue products or limit availability where reasonably necessary.

If you are a consumer, products supplied by us must comply with your statutory rights. For UK consumers this includes applicable rights under the Consumer Rights Act 2015 including that goods must be of satisfactory quality, fit for purpose and as described. Nothing in these Terms limits those rights.

Electrical and electronic equipment should not be disposed of with unsorted household waste. Where applicable to a product purchased from us, information about appropriate recycling, return or take-back arrangements under UK waste electrical and electronic equipment requirements will be provided through the website, product information or by contacting Topargee. Please contact us if you require information about the appropriate disposal or recycling of a Topargee product.

SECTION 3 - ORDERS

When you place an order you are making an offer to purchase the products in that order. Receipt of an order acknowledgement does not necessarily mean that we have accepted your order. A contract is formed when we confirm acceptance of your order or otherwise confirm that the order has been accepted for fulfilment.

We may decline an order where reasonably necessary including where a product is unavailable, payment cannot be authorised, there is an obvious pricing or description error, we suspect fraud or misuse or we cannot lawfully fulfil the order. If payment has already been taken for an order we do not accept we will arrange a refund.

Please review your order carefully before submitting it. Your ability to cancel after an order has been accepted is subject to our Refund Policy and your statutory cancellation and consumer rights.

Returns, cancellations and refunds are governed by our Refund Policy and your applicable statutory rights. Nothing in these Terms or our Refund Policy limits rights or remedies available to you under applicable consumer law.

If you are a UK consumer purchasing online you may also have cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Details of applicable cancellation periods, exclusions and the process for exercising those rights are set out in our Refund Policy.

Unless otherwise agreed with us, purchases made through the consumer store are intended for personal or household use and not commercial resale.

SECTION 4 - PRICES AND BILLING

Prices displayed to UK consumers include VAT where applicable. Any delivery charges or other additional charges payable by you will be clearly identified before you place your order.

Prices, discounts and promotions may change from time to time. The price applicable to your purchase will be the price presented to you when you place the order subject to correction of obvious errors as permitted by law.

Promotions may be subject to separate terms. If specific promotion terms conflict with these Terms, the specific promotion terms will apply to that promotion.

You agree to provide current, complete and accurate purchase and payment information. Payment processing may be provided by Shopify or other payment service providers and may be subject to their applicable terms.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery are subject to our Shipping Policy. Delivery dates and timeframes shown on the website are estimates unless we expressly agree otherwise. We will take reasonable steps to deliver within the agreed timeframe and will comply with applicable consumer law relating to delivery.

We are not responsible for a delay caused by circumstances outside our reasonable control but this does not affect any rights or remedies you have under applicable consumer law.

For UK consumer orders, risk in the goods remains with us until the goods come into your physical possession or the physical possession of a person you have identified to take possession on your behalf except where applicable law provides otherwise.

We may use third-party fulfilment providers including Amazon to store, pick, pack and dispatch orders placed through our website. Your order may therefore arrive in packaging bearing Amazon or another fulfilment provider's branding. Trayne Holdings Pty Ltd trading as Topargee remains the seller of products purchased directly through the Topargee UK online store.

Where Amazon or another third-party fulfilment provider fulfils your order on our behalf, Topargee remains your contracting seller and your rights against Topargee are not affected by the use of that fulfilment provider. If your order is lost, damaged or materially delayed during fulfilment or delivery, please contact Topargee and we will address the issue in accordance with your applicable consumer rights.

Website returns must be handled in accordance with our Refund Policy. Please contact Topargee before sending a return so that we can provide the correct return instructions and return address. Do not send a website return to an Amazon fulfilment centre unless we specifically instruct you to do so.

SECTION 6 - INTELLECTUAL PROPERTY

The Services including our trademarks, brands, text, images, graphics, video, audio, product content and website design are owned by or licensed to Topargee and are protected by applicable intellectual property laws.

You may use the Services for your personal and non-commercial use. Unless permitted by law or authorised by us in writing you must not reproduce, distribute, modify, republish, commercially exploit or create derivative works from protected material on the Services.

Topargee names, logos, product names, designs and slogans are trademarks or other protected intellectual property of Topargee or its licensors. Shopify's intellectual property belongs to Shopify or its licensors. Other names and marks belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

We may provide access to tools or services supplied by third parties. Such tools may be provided "as is" and "as available" by the relevant provider and your use may be subject to that provider's terms.

To the extent permitted by law we are not responsible for third-party tools that we do not control. Nothing in this section excludes liability or rights that cannot lawfully be excluded.

New features, tools or resources we make available through the Services may also be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to websites or services operated by third parties. We do not control those websites or services and are not responsible for their content, availability, privacy practices or transactions you enter into directly with them except to the extent responsibility cannot lawfully be excluded.

You should review the terms and policies of third-party websites before using them or entering into a transaction.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

The Topargee online store is powered by Shopify which enables us to provide the Services. Sales and purchases made through our store are made directly between you and Trayne Holdings Pty Ltd trading as Topargee.

Shopify is not the seller of Topargee products. To the extent permitted by applicable law Shopify is not responsible for the performance of the sales contract between you and Topargee. Nothing in this section limits any rights you may have against a party where liability cannot lawfully be excluded.

SECTION 10 - PRIVACY POLICY

Personal information collected through the Services is handled in accordance with our Privacy Policy. Certain information is also processed by Shopify in accordance with Shopify's applicable privacy notices.

Please review our Privacy Policy for information about how we collect, use, disclose and protect personal information including information about international transfers and your privacy rights.

We may provide order confirmations, service messages, notices and other communications electronically including by email or through the Services where permitted by law. This does not affect any requirement to provide information in another form where applicable law requires it.

SECTION 11 - FEEDBACK

If you voluntarily submit reviews, ideas, suggestions or other feedback to us you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish and display that feedback for the purposes of operating, improving and promoting our business and Services subject to applicable law and our Privacy Policy.

You must have the necessary rights to submit the feedback and must not submit content that is unlawful, misleading, defamatory, infringing or otherwise violates the rights of another person.

Where you have received compensation, a free product or another incentive in connection with feedback or a review you must disclose that relationship where required by law.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

We may correct typographical errors, inaccuracies or omissions relating to matters such as product descriptions, prices, promotions, shipping charges, transit times or availability.

If we identify an obvious error before a contract has been formed we may correct the error or decline the order. If an error is identified after a contract has been formed we will deal with it in accordance with applicable law and will not use this section to remove statutory consumer rights.

SECTION 13 - PROHIBITED USES

You may use the Services only for lawful purposes. You must not use the Services to break the law, infringe intellectual property or privacy rights, harass or harm others, transmit malicious code, send spam, impersonate another person, provide deliberately false or misleading information, interfere with website security or disrupt the operation of the Services.

You must not scrape, extract or systematically access the Services using automated tools where that activity is prohibited by law, these Terms or technical access controls. We may take reasonable technical measures to protect the Services from abusive, fraudulent or disruptive automated access.

We may suspend or restrict access where we reasonably believe these Terms have been materially breached or where necessary to protect the security or integrity of the Services.

SECTION 14 - AUTOMATED AGENTS

Automated or semi-automated software that accesses the Services must comply with applicable law, these Terms and reasonable technical restrictions we put in place. An automated agent must not conceal its automated nature, circumvent CAPTCHAs or security controls or deliberately evade measures intended to limit automated access.

We may restrict automated access where reasonably necessary to protect the Services, our customers or our systems.

SECTION 15 - TERMINATION

We may suspend or terminate access to the Services where reasonably necessary including where you materially breach these Terms, misuse the Services or create a security or fraud risk.

Termination or suspension does not affect rights or obligations that arose before termination including rights relating to an existing consumer purchase and does not affect any statutory consumer rights.

Provisions which by their nature are intended to continue after termination will remain in effect.

SECTION 16 - WARRANTIES AND STATUTORY RIGHTS

Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, condition, right or remedy that cannot lawfully be excluded, restricted or modified.

If you are a UK consumer, your legal rights include rights under the Consumer Rights Act 2015. Goods must meet applicable statutory requirements including being of satisfactory quality, fit for purpose and as described. Our 12-month Topargee warranty is additional to and does not replace or limit your statutory rights.

While we aim to keep the website available and accurate, we do not guarantee that the website itself will always be uninterrupted, error-free or available. This does not affect your rights in relation to products purchased from us.

SECTION 17 - LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where it would be unlawful to do so. In particular we do not exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation or liability for breach of statutory consumer rights that cannot lawfully be excluded or limited.

If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that was not foreseeable.

If you use products or Services for commercial or business purposes additional limitations may apply subject to applicable law. These consumer Terms are not intended to set the terms of a separate wholesale or commercial supply arrangement.

 

EVENTS OUTSIDE OUR CONTROL

We are not responsible for delay or failure to perform an obligation where that delay or failure is caused by an event outside our reasonable control. This may include severe weather, natural disasters, epidemic, pandemic or other public health emergency, war, terrorism, industrial disputes, government action, interruption to transport or utilities and significant failures of third-party systems or services. We will take reasonable steps to minimise the effect of the event and resume performance as soon as reasonably practicable. Nothing in this section affects any statutory right or remedy available to you as a consumer.

SECTION 18 - RESPONSIBILITY FOR YOUR USE

You are responsible for losses we reasonably incur as a direct result of your unlawful use of the Services or your material breach of these Terms where it is lawful and fair for us to recover those losses. Nothing in this section creates an indemnity that would be unfair or unenforceable against a consumer under applicable law.

SECTION 19 - SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or severed to the minimum extent necessary and the remaining provisions will continue in effect.

SECTION 20 - WAIVER AND ENTIRE AGREEMENT

If we do not immediately exercise a right under these Terms that does not mean we waive that right.

These Terms together with the policies and terms expressly incorporated into them form the agreement governing your use of the Services and purchases made through the online store. Nothing in this section excludes representations or rights that cannot lawfully be excluded.

SECTION 21 - ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our consent except where applicable law permits you to do so.

We may transfer our rights or obligations under these Terms to another organisation provided that doing so does not reduce your rights under the contract. We will provide notice where required by applicable law.

SECTION 22 - GOVERNING LAW AND CONSUMER RIGHTS

These Terms and contracts for purchases made through the Topargee UK online store are governed by the laws of England and Wales.

If you are a consumer resident in Scotland or Northern Ireland you retain any mandatory consumer rights and protections available to you under the laws applicable where you live.

Nothing in these Terms deprives you of mandatory consumer protection available under the law of the country in which you habitually reside. You may bring proceedings in the courts available to you under applicable law.

Headings are included for convenience only and do not affect the interpretation of these Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE

We may update these Terms from time to time to reflect changes to our Services, business practices or legal requirements. The current version will be published on this page with an updated revision date.

Changes to these Terms apply prospectively and will not retrospectively alter the terms of an existing purchase contract unless permitted by law or agreed with you. Where required by law we will provide appropriate notice of material changes.
